The Problem

Contract review is broken for the people doing it.

Counterparty paper takes hours per agreement. Redlines slip through. Deal timelines slide while your client waits for you to finish a Word doc. The tools built for in-house legal departments don't fit the way a solo attorney or small firm actually works.

3+ hours
Per contract on counterparty paper.
Line-by-line review doesn't scale. Every redlined .docx from the other side resets the clock.
1 in 4
Substantive redlines missed.
Even experienced reviewers miss material changes on dense MSAs. Errors compound when you're working solo.
Days
Of deal slippage.
When you're the bottleneck, the deal waits. Your client waits. The counterparty wonders if you're still alive.
Who It's For

Built for the firms doing the actual review.

If your firm or practice carries every contract type and every counterparty paper alone, Midly is built for the way you actually work.

Solo Attorneys
Every MSA used to be a half-day. Now it's a meeting.
Counterparty paper, client requests, billable time, and engagement records in one place. Stop charging your time to a spreadsheet.
Small Firms (2–10)
A client portal your associates and your clients actually use.
Each client gets their own portal. Multiple teammates on the client side can send requests. Time auto-tracks while attorneys are in the editor.
Fractional GCs
Five clients, one playbook, zero context-switching.
Per-client context (entity, governing law) anchors every AI analysis. Different clients, different standards — the model knows the difference.
Counterparty paper, automated

The hardest review, made easy.

Drop the redlined .docx the counterparty sent. Midly extracts every insertion and deletion as a tracked change. Each one gets a risk level, a recommendation, and suggested counter-language ready to paste into your reply.

What you get on every redline
Risk-graded with grounded citations.

Every change the other side made is parsed out individually, classified low/medium/high risk, and tied back to the exact clause snippet it came from. No hallucinated case law. No invented contract history. Just the redline, the risk, the recommendation.

  • Accept, push back, or counter — one click per change
  • Suggested revision text generated against your playbook
  • Cited-snippet verification rejects insights that drift off-anchor
High · Indemnification carve-out removed
Their edit drops the cap on consequential damages. Recommendation: counter with capped indemnity at 12 months of fees.
Medium · Auto-renewal extended to 24 months
From 12 to 24 months without an opt-out window. Suggested revision: keep 12-month default, add 30-day notice clause.
Low · Notice address change
Administrative. Safe to accept.
AI Insights

Your playbook. Your governing law. Your client.

Upload your team's playbook once. Add per-client context — entity type, state of incorporation, governing law — once. Every future analysis is grounded in your standards and the specific client's situation, not a generic model's idea of what a contract should say.

Admin perspective
Does this clause support our position on liability? Match against the firm's standard MSA position.
Deal-owner perspective
Plain-English summary. Should this be escalated to senior review?
Reviewer perspective
Where does this depart from the client's standard playbook?
Counterparty view (read-only)
The other side never sees your analytical insights. Their view stays clean: comments, changes, Ask Midly.
Four roles. One analysis pass.
One contract. Four perspectives.

Different roles need different things from the same document. Midly runs one analysis pass and surfaces the slice each role actually needs. Apply, ignore, or copy each suggestion individually — the audit trail tracks which insights drove the final draft.

  • Per-client governing-law context anchors every insight
  • Suggested counter-language ready to copy into the doc
  • Applied / ignored / copied tracking on every insight
Client Portal

A portal your clients actually use.

Each client gets a portal scoped to their work. Multiple teammates on the client side can sign in — the contracts associate, the deal owner, the GC. They send requests, see what's been sent back, approve documents, and close items as resolved. You see every message in your editor sidebar.

Built for the client, not for legal
Send and track requests in one thread.

Documents and correspondence live in one timeline. The client opens a doc, sees the side-by-side review thread, and can approve, request changes, or send a message — without ever opening Word or a separate email chain.

  • Multiple teammates per client portal (invite by email)
  • Approve / Request changes / Close — one click each
  • Side-by-side document + correspondence on every screen
  • Both sides can soft-close docs handled outside the app

Billable time, captured by the doc.

Stop reconstructing your day. Midly auto-tracks time on every doc as you work — clean intervals, attached to the right client, the right matter. Manual entries for everything else. One dashboard for billable hours, retainer balance, and client-by-client totals.

Ask Midly

Talk to your contract.

Highlight any clause. Ask anything. Get a plain-English explanation grounded in the actual document. Never invents case law. Never bills you 0.6 hours.

Grounded answers, every time
An answer you can quote, not paraphrase.

Ask Midly only references the document in front of you and the playbook you've uploaded. Citations point back to the exact clause. If it doesn't know, it says so — instead of making something up.

"What's the cap on indemnification?"
Section 9.2: aggregate liability is capped at 12 months of fees. The carve-outs in 9.3 (fraud, willful misconduct, IP infringement) are uncapped.
"Plain-English: what does Section 14 actually mean?"
Section 14 (Term and Termination) lets either party terminate for any reason with 60 days written notice. Either party can also terminate immediately for material breach if not cured within 30 days.
