What Are Cookies
Cookies are small text files that are placed on your device when you visit a website or use a web application. They are widely used to make websites work more efficiently, to remember your preferences, and to provide website operators with analytics about how their sites are used.
In addition to traditional cookies, we and our partners use similar technologies including web beacons (tracking pixels), local storage, and session storage for purposes described in this policy.
We use cookies on both our marketing website (midly.ai) and our platform (app.midly.ai). The types and purposes differ between the two, as described below.
Strictly Necessary Cookies
These cookies are essential for the platform to function and cannot be disabled. They are set in response to actions you take — such as logging in — and do not identify you personally for marketing purposes.
Clerk manages authentication for the Midly CLM platform. When you log in, Clerk sets session cookies that keep you authenticated during your session and across browser restarts (if you choose "stay signed in").
- Cookie names:
__session, __client_uat, and related Clerk session identifiers
- Purpose: Authentication and session management
- Duration: Session (expires when you log out) or persistent (if "stay signed in" is enabled)
- Domain: app.midly.ai
- Can be disabled: No — disabling these cookies will prevent you from using the platform
Our platform sets security tokens to protect against cross-site request forgery (CSRF) and other attacks. These are technical security cookies that do not track you for analytics or advertising.
- Purpose: Security, CSRF protection
- Duration: Session
- Can be disabled: No — required for secure operation
Analytics Cookies
We use analytics cookies to understand how visitors interact with our website and platform. This helps us identify what's working, fix problems, and improve the experience. These cookies do not contain your contract content or personally identifiable information beyond what is described below.
Disabling analytics cookies does not affect the functionality of the Midly CLM platform. You can continue to create deals, manage contracts, and use all platform features with analytics disabled.
Google Analytics 4 collects anonymous usage data about how visitors interact with our marketing website (midly.ai). This includes pages visited, time on site, referral sources, and general location data (country/city level).
- Cookie names:
_ga, _ga_Z3SHWTKPRF
- Purpose: Website traffic analytics, audience insights
- Duration: 2 years (
_ga), session (_gat)
- Domain: midly.ai
Microsoft Clarity provides session recording and heatmap analytics on our marketing website. It records anonymized sessions to help us understand how visitors navigate pages, where they click, and where they encounter friction.
- Cookie names:
_clsk, _clck, MUID
- Purpose: Session recordings, heatmaps, UX improvement
- Duration: 1 year (
_clck), 1 day (_clsk)
- Domain: midly.ai
Marketing Cookies
We use marketing cookies on our marketing website (midly.ai) to measure the effectiveness of our advertising campaigns and to understand how visitors arrive at our site from ads. These cookies are not set on app.midly.ai (the platform).
The Meta Pixel is a piece of code that allows us to measure the effectiveness of our advertising on Facebook and Instagram. It records when a visitor arrives at our site from a Meta ad and, if they sign up, allows us to attribute that conversion. It may also be used to build retargeting audiences.
- Cookie names:
_fbp, _fbc
- Purpose: Ad conversion measurement, retargeting
- Duration: 90 days (
_fbp)
- Domain: midly.ai
How to Control Cookies
Browser Settings
Most web browsers allow you to control cookies through their settings. You can typically find these under Settings → Privacy or Preferences. Common options include:
- Block all cookies: This will prevent the platform from functioning as it requires authentication cookies.
- Block third-party cookies: This will disable analytics and marketing cookies without affecting platform authentication.
- Delete cookies: You can delete existing cookies at any time through your browser settings.
Browser-specific instructions:
Provider Opt-Outs
Disabling analytics and marketing cookies (Google Analytics, Microsoft Clarity, Meta Pixel) has no effect on your ability to use the Midly CLM platform. All core platform functionality — deal creation, contract drafting, signing, approvals — continues to work normally.
Do Not Track
Some browsers transmit "Do Not Track" (DNT) signals. Because there is no agreed-upon standard for how websites should respond to DNT signals, we do not currently alter our data collection practices in response to DNT signals. You may use the opt-out mechanisms described above to control tracking.
For users in jurisdictions with Global Privacy Control (GPC) support, we are working to honor GPC signals in accordance with applicable law.
Changes to This Policy
We may update this Cookie Policy from time to time to reflect changes in the cookies we use or applicable legal requirements. When we make material changes, we will update the "Last Updated" date above.
