This E-Sign Disclosure and Consent ("Disclosure") is provided in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and applicable state electronic signature laws. It governs your use of electronic signatures and your receipt of electronic records through Midly CLM, operated by Midly Labs Inc.
Your consent is entirely voluntary. You may choose to withdraw your consent at any time as described below, though doing so may affect your ability to use certain features of Midly CLM.
By consenting, you agree that electronic signatures and electronic records may be used for all agreements, contracts, documents, notices, disclosures, and communications between you and any counterparty executed through Midly CLM, including but not limited to:
This consent applies to your current and future use of Midly CLM for the purposes described above. It does not apply to documents or transactions conducted outside of the Midly CLM platform.
To access and retain electronic records provided through Midly CLM, you will need the following:
If your hardware or software changes and you are no longer able to access electronic records, please contact us at legal@midly.ai so we can assist you.
You have the right to receive a paper copy of any electronic record provided through Midly CLM. To request a paper copy, please contact us at legal@midly.ai with the subject line "Paper Copy Request" and identify the specific document(s) you require.
We will fulfill reasonable paper copy requests within a reasonable time. We reserve the right to charge a fee for paper copies where permitted by applicable law; if a fee applies, we will inform you before processing your request.
Your request for paper copies does not constitute a withdrawal of your consent to receive electronic records going forward.
You may withdraw your consent to use electronic signatures and receive electronic records at any time. To withdraw consent, send a written notice to legal@midly.ai with the subject line "E-Sign Consent Withdrawal" and include your full name and the email address associated with your Midly CLM account.
Withdrawal of consent will be effective upon our receipt and confirmation of your notice. Please note:

It is your responsibility to keep your contact information — particularly your email address — current so that you continue to receive electronic records and notifications. To update your email address or other contact information associated with your Midly CLM account:
Midly Labs Inc. is not responsible for any failure to deliver electronic records resulting from inaccurate or outdated contact information.
Midly CLM retains electronic records, including signed documents and audit trails, for as long as your account is active and for a period thereafter as described in our Privacy Policy. You can access and download your signed documents at any time through your account dashboard.
We recommend that you save and store copies of all electronically signed documents for your own records. Midly Labs Inc. is not responsible for any loss of documents resulting from account closure, deletion, or circumstances beyond our reasonable control.
